Senmiao is now a Nevada holding company with one operating focus in China: automobile transaction and related services centered on short-term operating leases and related fees to ride-hailing drivers primarily via Hunan Ruixi.
The company disposed of its online ride-hailing platform subsidiary XXTX in August 2024 and later deconsolidated additional Sichuan entities, so continuing operations are narrow and local.
In fiscal year ended March 31, 2026, continuing operations produced 1.55 million dollars of revenue with only 0.21 million dollars gross profit and a net loss of 5.37 million dollars; management disclosed a working capital deficit at year end, albeit after June 2026 financing cash on hand rose to 12.87 million dollars.
However derivative warrant liabilities and accumulated deficits left stockholders’ equity massively negative.
Latest quarterly data show how small and fragile the franchise remains: for the quarter ended June 30, 2026, revenue was 0.36 million dollars with gross profit of 0.06 million dollars, operating loss of 0.63 million dollars, and cash used in operating activities of 0.88 million dollars.
Derivative liabilities ballooned to about 48.0 million dollars following April–June 2026 unit financing that issued one share plus four warrants per unit; outstanding common shares jumped to 14.56 million by August 10, 2026. On August 21, 2026, Nasdaq notified the company it no longer satisfied the stockholders’ equity listing standard given negative equity of about 35.34 million dollars.
Management also reported material weaknesses in internal controls and previously filed a non-reliance 8-K for the December 31, 2025 quarter.
The company’s core is short-duration automobile operating leases and related services to ride-hailing drivers in select Chinese cities. The market has intense competition, low differentiation, and price-sensitive customers.
There is no network effect, minimal brand equity, limited switching costs, and no structural cost advantage versus local lessors or platform-affiliated providers.
After disposing of its own ride-hailing platform in August 2024, Senmiao depends on partners and local demand in Hunan rather than owning a platform relationship, which weakens any ecosystem advantage. Any emerging moat from scale or data seems unlikely given the tiny revenue base and declining lease ARPU.
Evidence points to essentially no pricing power. Average monthly rentals declined year over year, and gross margin compressed. Small commissions and service fees are set in competitive markets with little room for markups.
With customers able to lease from many local alternatives and platforms setting take-rates, Senmiao is a price taker rather than a price maker.
Revenue is very small and volatile, and historical mix has changed due to discontinued and disposed operations. Continuing operations produced only 1.55 million dollars in FY 2026 with quarterly revenue around 0.36 million dollars and 17 percent gross margin in Q1 FY 2027. Strategy shifts (AI infrastructure exploration) further reduce visibility.
The business depends on Chinese local regulatory frameworks and ride-hailing activity, which can change. Overall cash generation is negative and unpredictable.
Liquidity improved short term after the April–June 2026 unit financing, lifting cash to 12.87 million dollars. Yet derivative warrant liabilities totaled about 48.0 million dollars at June 30, 2026, creating a large stockholders’ deficit and a working capital deficit around 36.3 million dollars.
Operating cash flow was negative in FY 2026 (continuing operations) and remained negative in the June quarter. Nasdaq issued a deficiency notice for equity noncompliance in August 2026. The balance sheet is therefore fragile and dependent on capital markets.
Capital allocation has relied on repeated equity-linked financings that carry heavy warrant overhang and cause significant dilution. Shares outstanding rose from 1.05 million at March 31, 2025 to 4.56 million at March 31, 2026, then to 14.56 million by August 10, 2026, with authorization increased to 500 million common shares.
The company also disclosed a non-reliance event for its December 31, 2025 quarter, and material weaknesses in internal control persist. We do not see evidence of high-return reinvestment or disciplined buybacks; rather, financings appear necessary to fund losses.
A new CEO and CFO were appointed in late 2025 and early 2026. Insider ownership appears minimal. The June 2026 10-Q reports material weaknesses in internal controls, and an 8-K in June 2026 announced previously issued Q3 FY 2026 financials should not be relied upon.
Governance signals and execution history do not yet demonstrate the consistent discipline we look for in owner-operators or long-tenured stewards at quality compounders.
